These Terms of Service (“Terms”) govern access to and use of Microschool Ledger (“MSL”, “we”, “us”, or “the service”), a software platform for microschools, homeschool co-ops, private schools, and similar education programs (“Schools”). By accessing or using the service, you agree to these Terms.
These Terms cover three types of users: Schools that subscribe to or use MSL (“Customers”), School staff and other people authorized by a School to use MSL (“Authorized Users”), and parents, guardians, applicants, and family members who use parent-facing MSL pages such as a family portal, application form, invoice, payment link, RSVP page, or family-information confirmation page (“Family Users”).
MSL provides software tools to Schools. Each School controls the family, student, applicant, enrollment, billing, payment, scholarship, attendance, RSVP, communication, and other operational records it enters, imports, or collects through the service (“School Data”). MSL processes School Data to provide the service to the School and to Family Users as directed by the School.
MSL is not the School and does not set tuition, fees, enrollment status, program placement, scholarship eligibility, refund policies, admissions decisions, payment deadlines, or family obligations. Questions or disputes about School charges, invoices, payment plans, enrollment, admissions, scholarships, field trips, or refunds should be directed to the School.
If you use MSL on behalf of a School, you represent that you have authority to bind that School to these Terms, authorize MSL to process School Data, and manage access for Authorized Users and Family Users.
The School is responsible for the accuracy, legality, and appropriateness of the data it enters or imports; for obtaining any notices, permissions, consents, or authorizations required for its use of the service; for configuring its payment, invoice, communication, admissions, and portal settings; and for responding to Family User questions about School records.
Where a School uses MSL for student or child-related records, the School is responsible for determining which education, privacy, consumer protection, communications, payment, recordkeeping, scholarship, or other laws apply to the School. MSL will use School Data only to provide and support the service, as described in these Terms and the Privacy Policy.
Authorized Users may access MSL only for the School-related purposes authorized by their School. Authorized Users must keep sign-in credentials secure, use appropriate devices and networks, access only records they are permitted to view or manage, and avoid using family, student, applicant, or payment information for any unauthorized purpose.
Authorized Users are responsible for the information they enter, import, edit, approve, send, or delete. MSL may log activity for security, troubleshooting, audit, and service-operation purposes.
Family Users may use parent-facing MSL pages only for their own household or application, or as otherwise authorized by the School. Family Users must not attempt to access another family’s records, interfere with the service, misuse payment links or portal links, submit false information, or use MSL in a way that violates law or School policy.
Invoices, statements, balances, applications, enrollment information, field-trip information, communications, and other School records shown through MSL are provided by or on behalf of the School. If a Family User believes information is incorrect, the Family User should contact the School. MSL may help route technical issues but does not decide School billing, enrollment, admissions, scholarship, or refund matters.
MSL may allow Schools to accept online payments from Family Users through payment processors such as Stripe. Payment processing is provided by the payment processor and may be subject to that processor’s own terms and privacy policy. MSL does not store full credit card or bank account numbers. The School remains responsible for the amount charged, the purpose of the charge, refunds, credits, and resolving payment disputes with Family Users.
MSL may display payment status, receipts, invoices, and balances based on records from the School and connected payment systems. Payment timing, settlement, failed payments, chargebacks, fees, and processor availability may depend on third-party payment providers.
Schools may use MSL to send operational, admissions, enrollment, billing, payment, field-trip, family-information, reminder, campaign, or other School-authorized communications. The School is responsible for the content of messages it creates, approves, or configures, and for using communication tools in compliance with applicable law.
Family Users may receive email or text messages from or on behalf of their School through MSL. Where SMS/text messaging is enabled, message frequency varies and message and data rates may apply. Recipients can reply STOP to opt out and HELP for help. MSL and Schools should not use MSL messaging tools for unlawful, misleading, harassing, or unauthorized communications.
The School retains ownership and control of School Data. The School grants MSL the rights needed to host, store, process, transmit, display, back up, secure, troubleshoot, and otherwise use School Data to provide, maintain, protect, and improve the service. Our handling of personal information is described in our Privacy Policy.
MSL will not sell School Data or use identifiable School Data, family data, applicant data, or student data for third-party advertising. MSL may use aggregated or de-identified information to understand and improve the service, provided it does not identify a School, student, family, applicant, or individual user.
MSL uses service providers and subprocessors, such as cloud hosting, database, authentication, email, SMS, payment, analytics, support, and integration providers, as needed to operate the service. MSL remains responsible for using those providers in a manner consistent with these Terms and the Privacy Policy.
MSL is designed for School-authorized administrative, financial, admissions, enrollment, communication, and family-service purposes. MSL does not use student or child data for behavioral advertising. Where a School authorizes MSL to process student or child information, MSL uses that information only to provide and support the service for the School and for related Family User interactions.
Schools and MSL may have obligations under student privacy or children’s privacy laws depending on the School, the students, the data, and the use case. MSL will provide reasonable assistance to Schools to support access, correction, deletion, export, security, and privacy requests involving School Data, as described in the Privacy Policy.
The service may connect, at a School’s direction or a user’s direction, with third-party services such as QuickBooks Online, Stripe, Twilio, email providers, authentication providers, hosting providers, and other tools. Those services are governed by their own terms and privacy policies. MSL is not responsible for third-party services outside MSL’s control.
Schools are responsible for authorizing integrations and for confirming that data imported from or exported to third-party services is accurate and appropriate. A School may disconnect supported integrations where the service provides that option.
You may not use MSL to access data without authorization; compromise security; test, scan, or probe the service except as authorized by MSL; interfere with service operation; reverse engineer the service; upload malicious code; send unlawful or abusive communications; violate payment network rules; misrepresent identity or authority; or use the service in violation of applicable law.
We work to keep the service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, add, suspend, or discontinue features over time. We perform backups and use safeguards intended to protect the service, but Schools should also export important records periodically and maintain their own records as appropriate.
Schools may be charged subscription, setup, transaction, usage, or other fees as agreed separately with MSL or through the service. Fees paid by Family Users to Schools, such as tuition, application fees, program fees, field-trip fees, or other School charges, are School charges and not MSL subscription fees.
MSL is a recordkeeping, workflow, communication, payment-support, and reporting tool. MSL does not provide accounting, tax, legal, investment, education, scholarship, admissions, or financial advice. Schools and Family Users are responsible for verifying records and obtaining professional advice where needed.
To the maximum extent permitted by law, the service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that data will always be available or accurate.
To the maximum extent permitted by law, MSL will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services, arising from or related to the service. To the maximum extent permitted by law, MSL’s total liability for claims arising from or related to the service will not exceed the amount paid to MSL by the applicable School for the service during the three months before the event giving rise to the claim, or one hundred dollars if no amount was paid.
Schools agree to defend, indemnify, and hold harmless MSL from claims arising from the School’s data, instructions, communications, payment requests, misuse of the service, violation of these Terms, violation of law, or dispute with a Family User, except to the extent caused by MSL’s own willful misconduct or gross negligence.
MSL may suspend or restrict access if we believe use of the service creates a security, legal, payment, privacy, operational, or abuse risk; violates these Terms; or may harm MSL, a School, a Family User, or another person. A School may stop using the service subject to any separate agreement or subscription terms. After termination, MSL will make School Data available for export for a reasonable period where feasible, subject to legal, security, and backup-retention limits.
We may update these Terms from time to time. If changes are material, we will use reasonable efforts to notify Schools or post notice through the service. Continued use of the service after an update means you accept the updated Terms.
Unless a separate written agreement with MSL says otherwise, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
